1. Introduction

These terms of service ("Terms") govern your use of the DonorStack website and software application ("Service") provided by Brainfloss UK Private Limited (trading as DonorStack) ("we", "us", "our").

By using our Service, you agree to these Terms. If you do not agree, please do not use our Service.

2. Eligibility

Our Service is intended for use by registered charities in the United Kingdom. By using our Service, you represent that:

• You are authorised to act on behalf of your organisation
• Your organisation is a registered charity or is applying for charitable status
• You will use the Service in compliance with all applicable laws

3. Your account

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate and complete registration information
• Keep your password secure and not share it with others
• Notify us immediately of any unauthorised access to your account
• Ensure your users comply with these Terms when using the Service

4. Your data

You retain all rights to the data you upload to DonorStack ("Your Data"). You grant us a limited licence to use Your Data solely to provide the Service to you.

We will process Your Data in accordance with our Privacy Policy and the UK General Data Protection Regulation.

You are responsible for:

• Ensuring you have the right to upload data to our Service
• The accuracy and legality of Your Data, including donor consent
• Maintaining appropriate backups of Your Data (though we also maintain backups)

5. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorised access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers connected to the Service
• Upload malicious code, viruses, or other harmful content
• Use the Service to send unsolicited communications (spam)
• Resell, sublicence, or redistribute the Service without our permission

6. Payment and billing

Paid plans are billed in advance on a monthly or annual basis. All fees are exclusive of VAT, which will be added where applicable.

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial billing periods.

We may change our pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

7. Service availability

We strive to maintain 99.9% uptime for our Service. However, we do not guarantee uninterrupted access and may need to perform maintenance from time to time.

We will provide reasonable notice of planned maintenance where possible. We are not liable for any downtime or service interruptions.

8. Intellectual property

The Service, including all software, content, and branding, is owned by Brainfloss UK Private Limited (trading as DonorStack) and is protected by intellectual property laws. You may not copy, modify, or create derivative works from our Service without permission.

We may use your organisation's name and logo to identify you as a customer, unless you ask us not to.

9. Limitation of liability

To the maximum extent permitted by law, Brainfloss UK Private Limited (trading as DonorStack) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.

Our total liability for any claim arising from these Terms or your use of the Service shall not exceed the fees paid by you in the 12 months preceding the claim.

10. Termination

Either party may terminate this agreement at any time. Cancellation of your subscription terminates these Terms at the end of your billing period.

We may suspend or terminate your access immediately if you breach these Terms or if required by law. Upon termination, you may export Your Data for 30 days, after which we will delete it.

11. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12. Governing law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
